1. Grant of License
The Licensor hereby grants to DIMENSION MUSIC a non-exclusive license to distribute, broadcast, and otherwise exploit the licensed musical works, as described in Exhibit A (the "Works"), within India. This includes but is not limited to streaming, downloads, physical distribution, and synchronization in multimedia content.
2. Scope of License
Territory: The license is valid within the territory of India.
Media/Format: The Works can be distributed via digital platforms, including but not limited to streaming services, online music stores, mobile apps, and physical formats such as CDs and vinyl.
Term: The license is granted for a period of [Number] years from the effective date of this Agreement, unless earlier terminated pursuant to the terms of this Agreement.
Rights: DIMENSION MUSIC is granted the right to publicly perform, reproduce, distribute, and promote the Works through marketing channels, both online and offline.
3. Royalties and Payment
Royalty Rate: DIMENSION MUSIC agrees to pay the Licensor a royalty of [Percentage]% of the net revenue generated from the distribution of the Works.
Payment Terms: Royalties shall be calculated and paid on a quarterly basis. DIMENSION MUSIC shall provide royalty statements detailing sales, streams, and revenues earned, along with payments.
Minimum Guarantee: An upfront payment of [Amount] INR shall be paid to the Licensor as a non-refundable advance against future royalties.
